These terms govern your use of the Albarter marketplace (operated by Albarter Private Limited, CIN forthcoming). By creating an account or using any part of the marketplace you agree to them. If you do not, please don't use the service.
1. Who can use Albarter
- You must be a registered business or a sole proprietor with legal capacity to enter into contracts.
- You must be at least 18 years old and acting on behalf of your organisation with the necessary authority.
- You must provide accurate identity, GST/PAN, and contact information. You authorise us to verify it with the relevant authorities and third-party services.
- You must comply with all laws applicable to the products you list, buy or transact in, including export controls, BIS, FSSAI, drug, and other category-specific regulations.
2. What Albarter is тАФ and isn't
Albarter is a marketplace. We connect buyers and suppliers, host their negotiations, and provide infrastructure (RFQs, quotations, orders, invoices, negotiation rooms, search, payment routing) to make transactions easier.
For RFQs, quotations, purchase orders, and contracts entered into directly between buyers and suppliers through the marketplace, Albarter acts as a facilitator and is not the seller of the goods or services. In those buyer-supplier transactions, we do not warrant the quality, fitness, legality, or delivery of the listed items, nor do we guarantee that any quote results in a deal. We do operate a verification programme for suppliers; verification is a signal, not a guarantee.
3. Your account
- You are responsible for safeguarding your login (one-time codes, sessions, devices). Don't share them.
- One natural person can own multiple organisation accounts тАФ but each organisation must be a distinct legal entity.
- You must promptly update your details if anything changes (GST, address, KYC). Stale information is grounds for suspending your account.
- You may close your account any time. We retain transaction records as set out in our Privacy Policy ┬з5.
4. Listings, RFQs, quotations and orders
- Listings must be accurate, lawful, and relate to products you can actually supply. Misleading listings are taken down and can result in suspension.
- A quotation is a binding offer for the period it states (default 30 days). A purchase order accepted by the supplier creates a contract between buyer and supplier on the terms quoted plus any negotiated changes.
- Albarter is not a party to that contract. Delivery, payment, taxes, warranties and disputes are between the parties тАФ though we may offer dispute-resolution help.
- Buyers who cancel a confirmed order without cause may owe the supplier compensation as agreed in the quote.
5. Fees and payments
- Basic browsing is free. Subscriptions, premium features and some transaction-routing services are charged as published on our pricing page.
- Fees are exclusive of GST and other applicable taxes, unless stated.
- We can change fees with at least 30 days' notice. Existing prepaid plans run out at their original price.
- Failure to pay platform fees may result in restricted functionality and eventual suspension.
Refunds for platform fees are governed by our Cancellation & Refund Policy. Refunds for goods or services purchased between organisations are between those organisations.
6. Prohibited use
You agree not to:
- List or transact in goods or services that are illegal, regulated without proper authorisation, counterfeit, stolen, hazardous, or violate someone else's rights.
- Use the marketplace to harass, spam, defraud, or threaten other users.
- Bypass our fees by routing concluded business off-platform after using our matching, negotiation or RFQ tools.
- Scrape, copy or republish the marketplace catalogue or listings without our written permission.
- Attempt to reverse-engineer, disrupt or probe the platform beyond our published bug-bounty programme.
- Misuse AI translation and summary features to create misleading translations or impersonate counterparties.
7. Negotiation rooms and content ownership
Anything you upload, type or speak inside a negotiation room тАФ text messages, voice calls, video, attachments, AI transcripts тАФ remains yours. You grant Albarter a worldwide, non-exclusive, royalty-free licence to host, display and process it for the sole purpose of running the room and providing related features (translation, search, summary).
We do not use the contents of private rooms to train AI models. Aggregated metadata (counts, durations, response times) is used for product improvement.
8. Intellectual property
The marketplace itself тАФ software, brand, design, content тАФ is owned by Albarter or our licensors. You get a limited, revocable, non-transferable right to use it for its intended business purpose. You do not get a right to redistribute it, sublicense it, or build a competing service from it.
9. Liability
To the extent permitted by law, Albarter's aggregate liability for any claim arising from these terms or your use of the marketplace is limited to the platform fees you paid to Albarter in the 12 months before the claim arose. We are not liable for loss of profit, business interruption, loss of data, or any indirect or consequential loss.
Nothing in these terms limits liability for fraud, gross negligence, or anything that cannot be limited under applicable law.
10. Suspension and termination
We can suspend or terminate your account if you breach these terms, our policies, or applicable law; or if continuing to serve you would expose Albarter or other users to legal or reputational risk. We aim to give notice where possible.
You can terminate by closing your account. Termination does not affect rights or obligations that have already accrued тАФ outstanding fees remain payable, retention windows still apply, and pending transactions still need to be concluded.
11. Changes
We can update these terms. The updated version is posted here with a new тАЬLast updatedтАЭ date. Material changes are notified by email and flagged in-app for at least 30 days before they take effect. Continuing to use the marketplace after a change means you accept it.
12. Governing law and jurisdiction
These terms are governed by the laws of India. The courts at Bengaluru have exclusive jurisdiction over any dispute, without prejudice to the grievance process in ┬з13.
